These Terms of Service (“Terms”) govern your access to and use of the Klyssel Labs website and the services provided by Klyssel Labs (“Klyssel Labs”, “Klyssel”, “we”, “us”, or “our”).
By accessing our website, submitting an inquiry, purchasing a service, entering into a project with us, or otherwise using our services, you agree to these Terms.

The exact scope of a project will depend on the applicable proposal, statement of work, contract, or other written agreement. Unless expressly stated otherwise, services do not include work outside the agreed scope.
Requests for additional functionality, integrations, revisions, environments, infrastructure, content, or other deliverables may require a change in scope, additional fees, or revised timelines.
Project Proposals and Statements of Work
Where applicable, Klyssel Labs may provide a proposal, quotation, statement of work (“SOW”), project specification, or similar document. The applicable project document may specify:

Project Timelines
We will make reasonable efforts to meet agreed project milestones and delivery dates. Project timelines depend on factors including:

- Third-party APIs & infrastructure
- Scope changes & delays outside reasonable control
If a customer delay affects the project schedule, the delivery timeline may be adjusted accordingly. Estimated timelines are not guarantees unless expressly agreed otherwise in writing.
Customer Responsibilities
Customers are responsible for providing information, materials, approvals, access, credentials, content, and other resources reasonably necessary to perform the services. You agree to:

Fees and Payment
Fees and payment terms are specified in the applicable proposal or agreement. Invoices are payable according to stated terms. Work outside scope may incur additional fees. Klyssel Labs may suspend work where undisputed invoices remain unpaid beyond the payment period.
Taxes
Fees do not include applicable taxes, levies, or governmental charges unless stated. Customers are responsible for all taxes applicable to their purchases or service use, except taxes imposed on Klyssel Labs' net corporate income.
Third-Party Services
Klyssel Labs may use or integrate third-party services, platforms, APIs, cloud infrastructure, AI models, payment processors, analytics platforms, or open-source software.
Third-party services maintain their own terms, privacy policies, pricing, and availability. Klyssel Labs is not responsible for independent failures, changes, interruptions, pricing adjustments, or policy updates made by third-party providers.
Artificial Intelligence Services
Certain Klyssel Labs services may use artificial intelligence, machine learning, large language models, generative AI, computer vision, voice technologies, or AI agents.
AI systems can produce inaccurate, incomplete, or unexpected outputs. AI-generated results should therefore be reviewed and validated before being relied upon for consequential business, legal, financial, medical, safety, or other high-impact decisions.
Unless expressly agreed otherwise in writing, AI outputs are not guaranteed to be error-free, and model performance may vary with data, prompts, and system conditions.
AI Agents and Automation
Where Klyssel Labs develops AI agents or automated workflows, customers are responsible for defining appropriate permissions, business rules, approval requirements, and operational boundaries.
Where an automated workflow can modify records, communicate externally, initiate transactions, or create material consequences, appropriate testing, permissions, human oversight, and operational controls must be established.
Klyssel Labs does not guarantee that automated systems will always behave identically under every conceivable input or unexpected external API state.
Software Development and Deliverables
Deliverables may include source code, compiled applications, APIs, UI/UX designs, documentation, automation workflows, AI pipelines, and analytics dashboards as specified in the project agreement.
Payment for a project does not automatically transfer ownership of Klyssel Labs' pre-existing technology, frameworks, libraries, tools, methodologies, templates, or reusable components.
Intellectual Property
Customer Materials
Customers retain ownership of materials, data, content, trademarks, and documentation supplied to Klyssel Labs, subject to the limited rights necessary for us to perform the services.
Klyssel Labs Materials
Klyssel Labs retains all ownership of its pre-existing intellectual property, frameworks, libraries, tools, internal systems, generic solutions, know-how, and reusable components.
Project Deliverables
Ownership or licensing of project-specific deliverables will be governed by the applicable project agreement. Where ownership is transferred, such transfer is conditioned upon full payment of applicable fees.
Open-Source Software
Projects may incorporate open-source software subject to their respective licenses. Customers agree to comply with applicable license terms relating to their deployment.
Confidentiality
Both parties agree to use reasonable care to protect confidential information (including architecture, code, business plans, and credentials) and use it solely for legitimate engagement purposes.
Data Protection & Privacy
Klyssel Labs processes personal data in accordance with our Privacy Policy and statutory laws. Customers must maintain a lawful basis for all provided data.
Security
Klyssel Labs applies reasonable technical safeguards. Customers remain responsible for credential management, user permissions, internal practices, and maintaining backups.
Software Hosting and Infrastructure
Where Klyssel Labs provides hosting or cloud infrastructure management, the specific SOW defines the scope. Third-party cloud providers (AWS, Azure, GCP) are subject to provider availability and service levels; Klyssel Labs does not warrant uninterrupted third-party infrastructure uptime.

Warranties and Disclaimers
To the maximum extent permitted by applicable law, the Klyssel Labs website and general informational content are provided on an “as available” basis. We do not guarantee uninterrupted uptime, bug-free third-party APIs, or that services will achieve a specific commercial result unless stated in a signed contract.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded under mandatory statute.
Limitation of Liability
To the maximum extent permitted by law, Klyssel Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data.
Where permitted by law, Klyssel Labs' aggregate liability arising from a specific service or project will be limited to the fees actually paid to Klyssel Labs for that service during the applicable period, subject to the relevant agreement.
Indemnification
You agree to hold harmless Klyssel Labs from claims arising from unlawful website use, violation of these Terms, third-party IP infringement, or materials supplied without authorization.
Suspension & Termination
We may suspend access for non-payment, security risks, or material breach. Termination does not extinguish surviving terms (confidentiality, IP, liability limits, and dispute clauses).
Force Majeure
Klyssel Labs will not be responsible for delays or failures caused by circumstances beyond reasonable control, including natural disasters, telecommunications outages, cloud-provider downtime, cyberattacks, governmental action, labor disputes, or grid failures.
Changes to Services
Klyssel Labs may enhance, modify, or replace website features. Customer project scope changes are handled via written change orders under the applicable contract.
Changes to These Terms
We may periodically update these Terms. Continued use of our website following updates constitutes acceptance of revised terms to the extent permitted by law.
Governing Law, Severability, Waiver & Entire Agreement
29. Governing Law and Jurisdiction: These Terms are governed by the laws applicable to Klyssel Labs and the relevant contractual engagement. Specific signed contracts establish exclusive dispute jurisdiction.
30. Severability: If any provision is deemed unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining terms will remain fully effective.
31. No Waiver: Failure or delay in enforcing any provision does not constitute a waiver of the right to enforce it in the future.
32. Entire Agreement: These Terms, together with any SOW, MSA, or DPA, constitute the entire agreement regarding our services, with specific signed contracts taking precedence in cases of conflict.
